Keep commercial acceptance, technical acceptance and claims approval distinct.
Those provisions are not equivalent to the carrier’s proposed QA definition. Counsel should check which negotiated documents govern any purchase.
Contract and quote-normalisation checklist
| Topic | Put this into the agreed scope or schedule |
|---|---|
| Deliverables | Documents, editable formats, evidence references, QA records and system destination |
| Revisions | Supplier-caused correction versus new evidence, carrier instruction change or genuine scope expansion |
| Charges | Complexity bands, minimums, software, integrations, revisions, surge rates and retained work |
| Service clocks | Initial receipt, completeness determination, delivery, acceptance, pauses and pause reasons |
| Quality | Severity definitions, review rights, correction obligations and treatment of latent errors |
| Difficult files | Eligibility, permitted declines, escalation and fallback costs |
| Surge capacity | Qualified production and review capacity, overflow arrangements and priority rules |
| Change control | Notice, approval and regression testing for material workflow, model or rule changes |
| Evidence access | Agreed benchmarking permissions, adviser access, audit rights and regulatory cooperation |
| Exit | Usable exports, revision histories, transition assistance, access removal and data disposition |
Specify whether the buyer can retrieve carrier-specific configurations and audit records without demanding ownership of a supplier’s underlying intellectual property. Obtain express permission for comparative testing and external adviser access rather than assuming website access permits every evaluation use.
For AI services, the NAIC bulletin expressly contemplates third-party audit rights or audit reports, regulatory cooperation and activities confirming contractual compliance, where appropriate. Use those considerations in the contract review rather than treating a supplier’s internal QA as independent assurance. (content.naic.org)
What should be tested before expansion?
- ☐ Increase assignments in planned steps, with a named person authorised to pause routing.
- ☐ Stress-test intake, drafting, review and exception queues together.
- ☐ Check performance by inspection source and complexity—not only the portfolio average.
- ☐ Maintain an internal or alternative production route for failure and overflow.
- ☐ Run an exit rehearsal using actual exports and replacement-user access.
- ☐ Schedule recurring checks of costs, acceptance, material errors and post-acceptance corrections.
Before deletion or offboarding, preserve applicable legal, regulatory and litigation-hold records. New York DFS’s guidance specifically addresses this sequencing, transition responsibilities and retained offboarding evidence. (dfs.ny.gov)
Decision gate: Procurement, claims, technology and legal sign off on the tested service, fallback and exit—not merely the price.
Working documents: Production Quote Normaliser and Catastrophe Production Capacity Stress Test.
